Welcome to Cool Shadez. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and Cool Shadez ("we", "us", "our", or "Cool Shadez"), governing your access to and use of the Cool Shadez website located at coolshadez.com and all associated tools, services, and content (collectively, the "Service").
Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our License Agreement. If you do not agree to all of these Terms, you must not use the Service.
By accessing the Service, making a purchase, or otherwise using any part of the Cool Shadez platform, you confirm that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
Your continued use of the Service after any modifications to these Terms constitutes acceptance of those modifications.
Cool Shadez is a browser-based creative tool suite that provides WebGL-powered shader tools for generating visual assets. The Service currently includes, but is not limited to, the following tools:
Users may interact with shader parameters in real time and, subject to an active subscription, export their creations as static images (PNG, up to 5K resolution) and video files (WebM format).
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify active subscribers of material changes to Service functionality.
You must be at least 16 years of age to use the Service. If you are under 18 years of age, you must have the consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet these eligibility requirements.
The Service does not currently require the creation of a user account. Purchases and subscription access are managed through our third-party payment providers (Polar.sh and PayPal). Your use of those payment services is subject to the respective provider's own terms and policies.
You are responsible for maintaining the confidentiality of any access credentials, transaction identifiers, or payment receipts associated with your purchase. You agree to notify us immediately if you believe your purchase has been used without your authorisation.
Cool Shadez offers paid subscription plans that unlock export functionality. The following plans are currently available:

All prices are listed in euros (EUR). Value Added Tax (VAT) or other applicable taxes may be added to the listed prices where required by law, depending on your location and applicable tax regulations.
The Freelance (monthly) and Designer (annual) plans are subscription-based and will automatically renew at the end of each billing period unless you cancel your subscription before the renewal date. Renewal will be charged at the then-current rate for your plan.
You may cancel your subscription at any time through your payment provider's dashboard (Polar.sh or PayPal). Cancellation takes effect at the end of your current billing period -- you will retain access to export features until the period you have already paid for expires. No partial or prorated refunds will be issued for the remaining time in a billing period.
We reserve the right to change subscription pricing. Active subscribers will be given at least 30 days' written notice before any price increase takes effect. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.
Payments are processed securely by our third-party payment providers, Polar.sh and PayPal. Cool Shadez does not store your payment card details. All payment processing is subject to the terms and privacy policies of the respective payment provider.
By completing a purchase, you expressly acknowledge and agree that access to the paid features of the Service is provided immediately, and you waive any right of withdrawal that may otherwise apply under the EU Consumer Rights Directive (Directive 2011/83/EU), to the extent permitted by applicable law.
If you believe a charge was made in error, or if you experience a technical issue that entirely prevents you from accessing the features you paid for, please contact us at [PLACEHOLDER_SUPPORT_EMAIL]. We will review each case individually and may, at our sole discretion, issue a credit, provide an extension, or offer an alternative resolution.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
Violation of these acceptable use terms may result in the immediate suspension or termination of your access to the Service, without refund.
All rights, title, and interest in and to the Service -- including but not limited to the website, shader code, algorithms, visual designs, user interface, branding, documentation, and all related intellectual property -- are and remain the exclusive property of Cool Shadez and its licensors. These Terms do not grant you any ownership interest in the Service.
Subject to your compliance with these Terms and the payment of applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for the purpose of creating and exporting visual assets within the scope of your subscription plan.
"Cool Shadez", the Cool Shadez logo, and any other product or service names, logos, or slogans displayed on the Service are trademarks of Cool Shadez and may not be used without our prior written permission. This does not prevent you from making fair use references to our brand name.
When you export visual assets (PNG images or WebM videos) using the Service, the exported output files are yours to use within the scope defined by your active subscription plan. Detailed licensing terms for exported assets are set out in our License Agreement.
In summary:
Within the scope of your license, exported assets are royalty-free. You do not owe Cool Shadez any additional fees for using your exported assets in your projects.
The license to use exported assets survives the cancellation of your subscription, provided the assets were exported while your subscription was active and in good standing.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COOL SHADEZ EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
The above disclaimer does not affect any statutory warranty rights that you may have under applicable consumer protection laws, including those of the Netherlands and the European Union, which cannot be excluded or limited by contract.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Nothing in these Terms shall exclude or limit liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law, including mandatory consumer protection laws of the European Union or the Netherlands.
You may stop using the Service at any time. If you have an active subscription, you may cancel it through your payment provider. Your access to paid features will continue until the end of the current billing period.
We reserve the right to suspend or terminate your access to the Service, in whole or in part, immediately and without prior notice, if we reasonably believe that:

Upon termination, your right to access the Service and its paid features will cease. Sections of these Terms that by their nature should survive termination will continue to apply, including but not limited to: Intellectual Property, Exported Assets and Licensing (for assets lawfully exported prior to termination), Disclaimer of Warranties, Limitation of Liability, Governing Law, and General Provisions.
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of laws principles.
Any dispute arising from or relating to these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts in [PLACEHOLDER_CITY], the Netherlands.
If you are a consumer residing in the European Union, you may also have the right to bring proceedings in the courts of your country of residence. Nothing in these Terms affects your rights under mandatory consumer protection legislation of your country of residence.
In accordance with Regulation (EU) No 524/2013, the European Commission provides an online dispute resolution (ODR) platform, which can be accessed at https://ec.europa.eu/consumers/odr. We are not obligated, and do not currently commit, to participate in dispute resolution proceedings before a consumer arbitration board; however, we will consider each case on its merits.
We may update these Terms from time to time to reflect changes in the Service, our business practices, or applicable law. When we make material changes:
If you do not agree to the revised Terms, you must stop using the Service and cancel any active subscription before the changes take effect. Continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
These Terms, together with the Privacy Policy and the License Agreement, constitute the entire agreement between you and Cool Shadez regarding the Service and supersede all prior agreements, representations, and understandings.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
The failure of Cool Shadez to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Cool Shadez.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Cool Shadez may assign its rights and obligations under these Terms to any successor entity in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided the assignee agrees to honour these Terms.
Cool Shadez shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, acts of government, internet outages, third-party service provider failures, or cyberattacks.
These Terms are drafted in English. In the event of any conflict between an English version and any translated version, the English version shall prevail, except where prohibited by applicable law.
