License Agreement

This License Agreement ("Agreement") is a legally binding contract between you ("Licensee," "you," or "your") and Cool Shadez ("Licensor," "we," "us," or "our"), a business operating under the laws of the Netherlands. By purchasing a subscription, activating a license, or using the Cool Shadez software and services ("Software"), you agree to be bound by this Agreement in its entirety.

This Agreement supplements and should be read together with our Terms of Service and Privacy Policy. In the event of a conflict between this Agreement and the Terms of Service regarding licensing rights, this Agreement takes precedence.

If you do not agree to these terms, you must not use the Software or export any assets from it.

1. Definitions

  • "Software" means the Cool Shadez web-based application, including all WebGL shader tools, the user interface, export functionality, and any associated services accessible through the Cool Shadez website.
  • "Exported Assets" means the image files (PNG, up to 5K resolution) and video files (WebM) that you generate and download from the Software using its export functionality. Exported Assets are the output of the Software — they do not include the Software itself, its source code, shader code, or any underlying technology.
  • "Source Materials" means all source code, GLSL shader code, JavaScript/TypeScript modules, WebGL rendering logic, build configurations, design-system files, and documentation that constitute the Software's internals.
  • "End Product" means a finished work — such as a website, application, video, social media post, presentation, advertisement, digital product, or printed material — that incorporates Exported Assets as part of a larger creative work.
  • "Commercial Use" means any use in connection with a business activity, including client work, paid projects, revenue-generating products, advertising, promotional materials, products offered for sale, and SaaS integrations.
  • "Competing Product" means any software, tool, or service that provides functionality substantially similar to Cool Shadez — specifically, browser-based shader generation, customization, and export tools.

2. License Tiers — Overview

Cool Shadez offers three license tiers. Your specific rights and restrictions depend on the tier you subscribe to or purchase. The table below provides a summary; detailed terms for each tier follow in Sections 3, 4, and 5.

3. Freelance License €7/month

3.1 Grant of License

Subject to this Agreement, we grant you a non-exclusive, non-transferable, non-sublicensable, worldwide license to access the Software and generate Exported Assets for personal and limited commercial use, as described below. This license is granted to one (1) named individual and may not be shared with or used by any other person.

3.2 Permitted Uses

  • Export PNG images at resolutions up to 3840 × 2160 pixels (4K).
  • Export video files in WebM format.
  • Use Exported Assets in personal projects, portfolios, social media posts, and personal websites.
  • Use Exported Assets in freelance deliverables for a single client at a time — meaning you may incorporate Exported Assets into one active client project. Once that project is delivered, you may begin a new single-client project.
  • Exported Assets created within the scope of this tier are royalty-free — no additional fees are owed to Cool Shadez for their use within the permitted scope.

3.3 Restrictions

  • You may not use Exported Assets in products intended for resale or redistribution (e.g., templates, theme packs, stock assets, merchandise lines).
  • You may not use Exported Assets simultaneously in multiple active client projects. If you need to work across multiple clients concurrently, you must upgrade to the Designer or Business tier.
  • You may not share your account credentials or allow others to use your subscription.
  • You may not sublicense any rights granted under this tier.

3.4 Subscription Terms

The Freelance License is billed monthly at €7 per month. Your subscription auto-renews each month unless you cancel before the next billing date. You may cancel at any time; cancellation takes effect at the end of the current billing period. See Section 9 for what happens when a subscription lapses.

4. Designer License €74/year

4.1 Grant of License

Subject to this Agreement, we grant you a non-exclusive, non-transferable, non-sublicensable, worldwide license to access the Software and generate Exported Assets for full commercial use without project limits. This license is granted to one (1) individual or one-person studio.

4.2 Permitted Uses

  • All rights granted under the Freelance License (Section 3.2), without the single-client restriction.
  • Export PNG images at resolutions up to 5120 × 2880 pixels (5K).
  • Export video files in WebM format.
  • Use Exported Assets in an unlimited number of client projects, commercial products, marketing materials, advertisements, and business communications.
  • Incorporate Exported Assets into products offered for sale, such as design templates, merchandise, printed materials, and digital goods — provided the Exported Asset is part of a larger End Product and not sold as a standalone asset.
  • Exported Assets created within the scope of this tier are royalty-free for all commercial purposes — no additional fees or per-use charges apply.

4.3 Restrictions

  • You may not use the Software or Exported Assets to create, contribute to, or operate a Competing Product.
  • You may not sublicense the Software itself or grant others access to the tool through your account.
  • You may not redistribute Exported Assets as standalone stock imagery, stock video, or raw asset packs. Exports must be incorporated into an End Product that adds substantial original value.
  • You may not share your account credentials or allow others to access the Software through your subscription.

4.4 Additional Benefits

Designer License holders receive priority consideration for feature requests and early access to new shaders and updates as they become available.

4.5 Subscription Terms

The Designer License is billed annually at €74 per year. Your subscription auto-renews each year unless you cancel before the next billing date. You may cancel at any time; cancellation takes effect at the end of the current billing period. See Section 9 for what happens when a subscription lapses.

5. Business License €299 one-time

5.1 Grant of License

Subject to this Agreement, we grant a non-exclusive, non-transferable, non-sublicensable, worldwide, perpetual license to access the Software and generate Exported Assets for the broadest commercial use. This license is granted to one (1) company or organization, including all current and future employees, contractors, and team members operating on behalf of that company.

5.2 Permitted Uses

  • All rights granted under the Designer License (Section 4.2), without limitation.
  • Company-wide access: any employee or contractor of the licensed organization may use the Software under this single license.
  • Embed Exported Assets in SaaS products, web applications, and digital platforms operated by the licensed company.
  • Create resale-ready outputs: Exported Assets may be incorporated into products, services, and client deliverables at scale without per-project restrictions.
  • Use Exported Assets in enterprise marketing, corporate communications, investor materials, and any other business context.
  • Exported Assets created within the scope of this tier are royalty-free for all commercial purposes, including SaaS integration and products for sale.

5.3 Restrictions

  • You may not redistribute, resell, or sublicense the Cool Shadez Software itself. This license grants rights to the Exported Assets, not to the tool. You may not make the Software available to third parties outside your organization.
  • You may not use the Software or its technology to create a Competing Product.
  • You may not redistribute Exported Assets as standalone stock imagery, stock video, or raw asset packs without incorporation into an End Product.

5.4 Additional Benefits

Business License holders receive priority support, onboarding assistance, and early access to new features and shaders.

5.5 Perpetual Terms

The Business License is a one-time purchase with no recurring fees. The license does not expire and does not require renewal. You retain all rights granted under this section for the lifetime of the licensed organization, subject to the restrictions in this Agreement. Access to future Software updates and new shader tools released after your purchase date is included at no additional cost.

6. What "Exported Assets" Means — Scope Clarification

It is important to understand the boundary between what you receive rights to and what remains our property:

  • Exported Assets (yours to use): The PNG images and WebM video files you generate using the Software's export functionality. These are the visual outputs — the gradients, patterns, globe renders, and other visuals produced by your parameter choices. You receive a license to use these outputs as described in your tier.
  • Source Materials (ours, always): The GLSL shader source code, WebGL rendering logic, TypeScript/JavaScript application code, UI components, build system, and all other code and technology that powers the Software. You receive no rights to these materials under any license tier.
  • Your creative decisions: The specific parameter configurations, color choices, animation settings, and compositional decisions you make within the Software are yours. We do not claim ownership over your creative input. However, the underlying shaders and algorithms that translate those inputs into visual output remain our intellectual property.

In plain terms: You own the creative choices you make. You receive a royalty-free license (within your tier's scope) to the visual files you export. We own the tool that makes them. You cannot extract, copy, or redistribute the tool itself.

7. Universal Restrictions (All Tiers)

Regardless of which license tier you hold, the following restrictions apply at all times:

  1. No reverse engineering. You may not decompile, disassemble, reverse engineer, or otherwise attempt to extract the Source Materials, shader code, rendering algorithms, or any other proprietary technology from the Software.
  2. No redistribution of the Software. You may not copy, mirror, redistribute, or make the Software (or any substantial part of it) available to any third party, whether for free or for a fee.
  3. No competing products. You may not use the Software, its technology, Exported Assets, or knowledge gained from using the Software to build, operate, or contribute to a Competing Product.
  4. No credential sharing. You may not share your login credentials, API keys, payment information, or account access with any person outside the scope of your license tier. Freelance and Designer licenses are single-user; Business licenses are limited to the licensed organization.
  5. No standalone asset distribution. You may not sell, license, or distribute Exported Assets as standalone files (e.g., as stock imagery, stock video, texture packs, or asset libraries). Exports must be incorporated into an End Product that adds substantial original value beyond the Exported Asset itself.
  6. No removal of attribution or watermarks. If any version of the Software applies watermarks, attribution notices, or metadata to Exported Assets, you may not remove, alter, or obscure them unless your license tier explicitly permits it.
  7. No unlawful use. You may not use the Software or Exported Assets in connection with any activity that is illegal, fraudulent, defamatory, or that infringes on the rights of any third party.
  8. No AI/ML training. You may not use Exported Assets, the Software interface, or any outputs to train, fine-tune, or build machine learning or artificial intelligence models without our prior written consent.

8. Intellectual Property

8.1 Our Ownership

Cool Shadez retains all right, title, and interest in and to the Software, Source Materials, shader code, rendering algorithms, user interface design, branding, and all associated intellectual property. This Agreement grants you a limited license to use the Software and its outputs — it does not transfer ownership of any intellectual property to you.

8.2 Your Ownership

You retain ownership of the creative decisions you make when using the Software — your parameter configurations, color selections, composition choices, and artistic direction. The resulting Exported Assets are licensed to you (not owned by Cool Shadez) on a royalty-free basis within the scope of your license tier.

8.3 No Implied Rights

Nothing in this Agreement grants you any rights by implication, estoppel, or otherwise, except for the rights expressly set out in this Agreement. All rights not explicitly granted are reserved by Cool Shadez.

9. Subscription Terms, Renewal, and Lapse

9.1 Freelance and Designer Licenses

Both the Freelance and Designer licenses are subscription-based and auto-renew at the end of each billing cycle (monthly for Freelance, annually for Designer) unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us at [PLACEHOLDER — support email].

9.2 Effect of Cancellation or Lapse

When a Freelance or Designer subscription ends (whether through cancellation, failed payment, or non-renewal):

  • Previously exported assets remain yours to use. Any Exported Assets you generated and downloaded during your active subscription period may continue to be used in accordance with the license tier that was active when they were exported. Your rights to those specific files are not revoked.
  • No new exports. You will lose the ability to access the Software's export functionality and generate new Exported Assets. You may still view the Software interface but cannot create new licensed outputs.
  • Reactivation. If you resubscribe at a later date, your export capabilities will be restored under the terms of the tier you subscribe to at that time.

9.3 Business License

The Business License is a one-time purchase and does not require renewal. It is perpetual — your rights under this Agreement do not expire, and there is no risk of lapse. If we discontinue the Software entirely, your right to use Exported Assets already generated remains intact.

9.4 Refunds

Refund policies are described in our Terms of Service. In general, because the Software provides immediate access to digital tools and export capabilities, refunds are handled on a case-by-case basis. 10. Warranty Disclaimer

THE SOFTWARE AND ALL EXPORTED ASSETS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

We specifically disclaim:

  • Any warranty that the Software will be uninterrupted, error-free, or free of harmful components.
  • Any warranty of merchantability, fitness for a particular purpose, or non-infringement.
  • Any warranty that Exported Assets will not infringe upon the intellectual property rights, trademarks, trade dress, or other rights of any third party.

Important: The visual outputs you create depend on the parameters, colors, and configurations you choose. While our shader tools generate original procedural graphics, you are solely responsible for ensuring that your creative choices — and the way you use Exported Assets in your End Products — do not infringe on any third-party rights. Cool Shadez does not review, approve, or guarantee the legal clearance of any Exported Asset.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  1. Cool Shadez shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to this Agreement, your use of the Software, or your use of any Exported Assets — including but not limited to loss of profits, loss of data, business interruption, or reputational harm — regardless of the cause of action or theory of liability.
  2. Cool Shadez's total aggregate liability under this Agreement shall not exceed the amount you paid for your license in the twelve (12) months immediately preceding the event giving rise to the claim. For Business License holders, the cap is the one-time purchase price paid.
  3. These limitations apply even if Cool Shadez has been advised of the possibility of such damages and even if a limited remedy fails of its essential purpose.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Termination

12.1 Termination by Us

We may terminate or suspend your license immediately upon written notice if:

  • You materially breach any term of this Agreement and fail to cure the breach within fourteen (14) days of receiving written notice from us.
  • You engage in fraudulent activity, account sharing in violation of your tier, chargeback abuse, or any activity that threatens the security or integrity of the Software.
  • You redistribute Source Materials, reverse engineer the Software, or use the Software to build a Competing Product.

12.2 Termination by You

You may terminate this Agreement at any time by cancelling your subscription (Freelance and Designer tiers) or by ceasing all use of the Software (Business tier). Termination by cancellation follows the process described in Section 9.

12.3 Effect of Termination

  • Your right to access the Software and generate new Exported Assets ceases immediately upon termination.
  • Exported Assets already incorporated into published End Products prior to termination may remain in place, provided those End Products were created in compliance with this Agreement during an active license period.
  • No refund will be issued for termination resulting from your breach of this Agreement.
  • Sections 6, 7, 8, 10, 11, 13, and 14 survive termination.

13. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict-of-law provisions.

Any dispute arising out of or in connection with this Agreement that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts in [PLACEHOLDER — city, e.g., Amsterdam], the Netherlands.

If you are a consumer resident in the European Union, nothing in this section affects your rights under mandatory consumer protection legislation in your country of residence.

14. Changes to This Agreement

We may update this Agreement from time to time. When we make changes that materially affect your rights or obligations, we will:

  • Provide at least thirty (30) days' advance notice before the changes take effect, via email to the address associated with your account or through a prominent notice within the Software.
  • Update the "Last updated" date at the top of this page.

Changes that expand your rights or correct typographical errors may take effect immediately. Changes that restrict existing rights will not apply retroactively to Exported Assets created before the change takes effect.

Your continued use of the Software after the effective date of any changes constitutes acceptance of the updated Agreement. If you do not agree with the changes, you must cancel your subscription and stop using the Software before the changes take effect.

15. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

16. Entire Agreement

This Agreement, together with the Terms of Service, the Privacy Policy, and your purchase confirmation or subscription receipt, constitutes the entire agreement between you and Cool Shadez with respect to the licensing of the Software. It supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter of this Agreement.
